Loan Settlement vs Loan Closure: What Is the Difference?
Borrowers frequently confuse informal repayment promises with authentic legal debt closures. The difference between a standard closure and a negotiated settlement is rooted in contractual law.
In a loan closure, no contractual breach has occurred; the loan covenant is satisfied in its entirety. The lender subsequently issues a standard No Objection Certificate (NOC).
In a settlement, the original agreement is effectively superseded by an addendum or compromise agreement. The borrower pays an agreed sum, and the lender agrees to waive the balance and withdraw ongoing recovery or legal notices.
A settlement is incomplete without a verifiable settlement sanction letter specifying the exact agreed sum, payment due date, and explicit covenant to provide a No Dues Certificate upon receipt of funds.
